Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a contract between you and Jade Wake LLC ("Jade Wake," "we," "us," or "our") governing your access to Minimum Viable Deck and the website at minimumviabledeck.app(collectively, the "Service"). By accessing or using the Service, creating an account, or selecting a sign-in option, you agree to these Terms and acknowledge our Privacy Policy.

If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Eligibility

You must be at least 16 years old to create an account. You must also be legally capable of entering into this agreement under the laws that apply to you. The Service is not directed to children under 16.

3. The Service

Minimum Viable Deck is an evolving software-company management game. You may play as a guest using browser storage or create an account to use available cloud-save features. Features, balance, content, availability, save limits, and supported devices may change as the Service develops.

Guest progress is tied to browser storage and may be lost if you clear site data, use a different browser or device, use private browsing, or if the browser removes stored data. You are responsible for keeping any copies or records you consider important. Cloud saves reduce this risk but are not a guarantee against every form of data loss.

4. Accounts

• Provide accurate account information and keep it current.
• Keep your password and sign-in methods secure.
• Do not share, sell, or transfer your account.
• Notify us promptly if you believe an account was compromised.
• You are responsible for activity performed through your account.

You may sign in through a supported third-party provider such as Google. Your relationship with that provider is governed by its own terms. We may refuse, suspend, or recover usernames or account details that impersonate others, violate rights, or create security risks.

5. License and ownership

Subject to these Terms, Jade Wake grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and play the Service for lawful, non-commercial entertainment. This is a license, not a sale.

The Service, including its software, game systems, text, artwork, audiovisual elements, design, trademarks, and other content, is owned by Jade Wake or its licensors and is protected by intellectual property laws. Except for the limited license above, no rights are granted to you.

6. Your names and other input

You retain any rights you have in names or other content you enter into the Service. You grant Jade Wake a limited, worldwide license to host, copy, process, and display that content only as needed to operate and improve the Service, provide cloud saves, and comply with law.

Do not submit content that is unlawful, threatening, hateful, sexually exploitative, infringing, deceptive, or that violates another person's privacy or other rights. We may remove content or restrict accounts when reasonably necessary to protect the Service or others.

7. Acceptable use

You may not:

• Break the law or encourage unlawful conduct through the Service.
• Interfere with, overload, disrupt, or bypass Service security.
• Access accounts, systems, or data without authorization.
• Use bots, scripts, scraping, or automation in a way that harms the Service or other users.
• Upload malicious code or attempt to probe or exploit vulnerabilities.
• Reverse engineer or extract source code except where applicable law expressly permits it.
• Use Service content commercially or create a competing service without written permission.
• Misrepresent affiliation with Jade Wake or Minimum Viable Deck.

Responsible security research should be reported privately to minimumviabledeck@gmail.com. Do not access, retain, or disclose another person's data.

8. Free demo and Full Access purchase

The Free Edition allows continued play through the core company campaign and an IPO ending. An optional Full Access offer may appear after your third completed product, but declining it does not end or delete your company. Full Access currently costs $9.42 as a one-time payment, before any applicable taxes, and unlocks the Full Game features shown at the time of purchase for the purchasing account. It is not a subscription.

Paddle acts as merchant of record and processes payment details, taxes, receipts, refunds, and related transaction information under its own terms. Jade Wake does not receive your complete card details. Mandatory consumer cancellation and refund rights continue to apply. We may change the price or included features for future purchases, but doing so will not turn an existing one-time purchase into a subscription.

In-game currency, statistics, companies, products, achievements, and other virtual items have no cash value and are not redeemable for money or real-world property unless we expressly state otherwise.

9. Third-party services

The Service relies on third parties for functions such as hosting, authentication, database services, and transactional email. It may also link to third-party websites. We do not control third-party services, and their own terms and privacy policies apply when you use them. We are not responsible for third-party content or services to the extent permitted by law.

10. Updates, availability, and beta features

We may update, rebalance, add, suspend, or discontinue parts of the Service. Maintenance, outages, security incidents, provider failures, or events outside our reasonable control may interrupt access. We do not promise that every feature or save will always be available or compatible with every browser or device.

Preview, beta, or experimental features may be incomplete, change without notice, and contain errors. Use them at your own risk.

11. Suspension and termination

You may stop using the Service at any time and may request account deletion by contacting us. We may suspend or terminate access if you materially or repeatedly violate these Terms, create risk or legal exposure, misuse the Service, or if necessary to protect users or the Service. Where reasonable, we will provide notice and an opportunity to resolve the issue.

Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute provisions—will survive.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." JADE WAKE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT SAVED DATA WILL NEVER BE LOST.

Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded in your country.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JADE WAKE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, JADE WAKE'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID JADE WAKE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100.

These limits do not apply where prohibited, including to liability that cannot lawfully be limited. Consumers in the EEA, UK, and other jurisdictions retain mandatory statutory rights.

14. Indemnity

To the extent permitted by law, you agree to defend and indemnify Jade Wake from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful misuse of the Service or material violation of these Terms. This section does not apply to the extent prohibited by consumer law.

15. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Jade Wake LLC is organized, without regard to conflict of law rules. Before filing a claim, please contact us and allow 30 days for an informal resolution. Claims may then be brought in courts with jurisdiction where Jade Wake LLC is organized, except that either party may use an eligible small-claims court.

If you are a consumer, this section does not deprive you of mandatory protections or rights to bring a dispute in the courts of your home country where applicable law provides those rights.

16. Changes to these Terms

We may update these Terms as the Service changes. We will post the updated Terms at this URL and revise the effective date. If a change materially affects your rights, we will provide additional notice where required. Continuing to use the Service after updated Terms take effect means you accept them, to the extent permitted by law.

17. General

These Terms and the Privacy Policy are the entire agreement concerning the Service unless additional written terms apply to a specific feature or purchase. If one provision is unenforceable, the remainder stays in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, financing, or sale of the Service.
